1. Acceptance of Terms

Welcome to AlphaGuru. By accessing or using the AlphaGuru platform, website (www.alphaguru.ai), applications, APIs, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AlphaGuru, Inc. ("AlphaGuru," "we," "us," or "our"). By creating an account, subscribing to a plan, or otherwise using the Service, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms.

Your continued use of the Service following the posting of any changes to these Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically.

2. Description of Service

AlphaGuru is an AI-powered investment research platform designed to help disciplined, long-term investors make more informed decisions. The Service provides, but is not limited to:

• Multi-Agent AI Analysis — A system of 23+ specialized AI agents that perform structural company analysis, fragility mapping, earnings pattern detection, and sector intelligence across multiple analytical frameworks.
• 10-Bagger Scout — A 7-layer structural analysis tool that evaluates companies for exceptional long-term growth potential.
• Fragility Cartographer — AI-driven value chain analysis measuring financing fragility, customer ROI fragility, and dependency risk.
• LLM Council — Multi-model AI consensus engine featuring deliberation, deep research, and Oxford-style debate modes.
• Capital Dashboard — Personal investment command center with 16 modules for portfolio tracking, technical analysis, thesis management, and market intelligence.
• AI CIO — Autonomous daily investment intelligence system with behavioral pattern detection and self-knowledge compounding.
• Data Aggregation — Integration with 14+ data sources including SEC EDGAR, Finnhub, Alpha Vantage, FMP, Reddit, and more.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Account Registration & Security

To access certain features of the Service, you must create an account. You may register using Google OAuth, GitHub authentication, or email credentials. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the security and confidentiality of your login credentials and not share your account with any third party.
• Accept responsibility for all activities that occur under your account, whether or not you have authorized such activities.
• Notify us immediately at security@alphaguru.ai if you suspect any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being used fraudulently, or violate these Terms. AlphaGuru shall not be liable for any loss or damage arising from your failure to comply with this section.

4. Subscription & Payments

AlphaGuru offers multiple subscription tiers to accommodate different investment research needs:

• Free Tier — Access to core research tools, limited AI analyses per month, basic dashboard features, and community resources.
• Pro Tier — Unlimited AI analyses, full access to all 23+ agents, LLM Council deliberations, deep research capabilities, priority processing, and advanced personalization.
• Enterprise Tier — Everything in Pro, plus dedicated API access, custom agent configurations, team collaboration features, SLA guarantees, and premium support.

Billing. Paid subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated herein or as required by applicable law.

Automatic Renewal. Your subscription will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.

Price Changes. We reserve the right to change our subscription prices. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to provide investment advice, financial planning, or portfolio management services to third parties without appropriate licensing and regulatory compliance.
• Redistribute, resell, sublicense, or commercially exploit any AI-generated content, analyses, or reports produced by the Service without our prior written consent.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying models of the Service.
• Use automated scripts, bots, or scrapers to access the Service in a manner that exceeds reasonable usage or circumvents rate limits.
• Upload or transmit any malicious code, viruses, or harmful content through the Service.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Service in any manner that could expose AlphaGuru to legal liability or that violates any applicable local, state, national, or international law.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removal of content, suspension or termination of accounts, and reporting to law enforcement authorities.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, functionality, design, graphics, logos, and the AlphaGuru name and branding are and will remain the exclusive property of AlphaGuru, Inc. and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and foreign countries.

Your Content. You retain ownership of any content you submit to the Service, including portfolio data, investment theses, trade journal entries, and research notes. By submitting content, you grant AlphaGuru a limited, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing and improving the Service.

AI-Generated Outputs. Analyses, reports, scores, and other outputs generated by our AI agents are derivative works created from the combination of our proprietary algorithms and your input data. You are granted a non-exclusive, non-transferable license to use such outputs for your personal, non-commercial investment research purposes.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AlphaGuru, Inc.

7. AI-Generated Content Disclaimer

The AI models powering AlphaGuru, including but not limited to the 10-Bagger Scout, Fragility Cartographer, LLM Council, and AI CIO, are machine learning systems that may produce inaccurate, incomplete, or misleading outputs. You acknowledge and agree that:

• AI-generated content may contain errors, hallucinations, outdated information, or biased analysis. No AI system is infallible, and outputs should not be relied upon as the sole basis for any investment decision.
• Past performance indicators, predictive scores, and forward-looking statements generated by our AI agents are inherently uncertain and do not guarantee future results. All investing involves risk, including the potential loss of principal.
• You are solely responsible for your own investment decisions. You should conduct your own research, consult with qualified financial professionals, and consider your personal financial situation before making any investment.
• The cognitive profile, behavioral analysis, and personalization features are designed to help you recognize patterns in your decision-making, but they are not a substitute for professional psychological or financial counseling.
• Data sourced from third-party providers (SEC EDGAR, Finnhub, Alpha Vantage, FMP, Reddit, etc.) is provided "as is" and AlphaGuru does not guarantee the accuracy, completeness, or timeliness of such data.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALPHAGURU, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any AI-generated content, analysis, score, verdict, or recommendation obtained from the Service.
• Any investment decisions made based in whole or in part on information provided by the Service.
• Unauthorized access, use, or alteration of your transmissions or content.
• Any interruption, suspension, or termination of the Service.

In no event shall our aggregate liability for all claims related to the Service exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00). This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory.

9. Indemnification

You agree to defend, indemnify, and hold harmless AlphaGuru, Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.
• Your use of the Service, including any data or content you submit, post, or otherwise transmit through the Service.
• Your investment decisions or financial losses, regardless of whether such decisions were influenced by AI-generated content from the Service.
• Any claim that your use of the Service caused damage to a third party.
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.

This indemnification obligation will survive the termination of your account and these Terms.

10. Termination

By You. You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service will immediately cease. If you are on a paid subscription, cancellation will take effect at the end of your current billing period.

By Us. We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms, suspected fraudulent activity, or extended periods of inactivity.

Effect of Termination. Upon termination, we may delete your account data, including portfolio information, research history, journal entries, and AI-generated analyses, within 30 days. You may request an export of your data prior to termination by contacting us at support@alphaguru.ai.

Sections that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

12. Dispute Resolution

Informal Resolution. Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at legal@alphaguru.ai. We will attempt to resolve the dispute through good-faith negotiation within 60 days of receiving your notice.

Binding Arbitration. If informal resolution is unsuccessful, any remaining dispute shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Wilmington, Delaware. The arbitrator's decision shall be final and binding.

Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against AlphaGuru.

Exceptions. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction for the protection of intellectual property rights.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect. Notice may be provided by posting the updated Terms on the Service, sending an email to the address associated with your account, or displaying a prominent notice within the application.

What constitutes a "material" change will be determined at our sole discretion. By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may terminate your account.

We will maintain an archive of previous versions of these Terms, accessible upon request. The "Last updated" date at the top of this page indicates when these Terms were most recently revised.
